These Terms of Service (“Terms”) govern your access to and use of all services provided by Signal Workflows Haavik ENK (“Signal Workflows”, “we”, “us”, “our”). This includes the website signalworkflows.com and its subdomains, our software platforms Pulse and ClubAdmin, and the services described below (together, the “Services”).
By signing an Agreement or Order Form, making a payment or using the Services, you agree to these Terms. If you accept them on behalf of a company or other legal entity, you confirm that you have authority to bind it.
1. Services
We provide:
- Workflow automation: mapping, building, testing and running automated business workflows across your tools.
- AI consulting: assessing, implementing and supporting practical uses of existing AI models in your business. We do not train, fine-tune or host custom large language models.
- Email marketing: setup and operation of consent-based email programs, including sequences, newsletters and deliverability.
- SaaS and custom software: design, development, hosting and support of business software, including configurations and extensions of our own platforms.
- Platforms: access to Pulse (a modular admin platform) and ClubAdmin (a booking platform), under the scope set out in your Agreement.
All Services are provided for lawful business purposes only. The exact scope, deliverables and price are set out in your Agreement or Order Form.
2. Contract formation and order of precedence
Your agreement with us is formed when you sign an Agreement or Order Form, make the first payment, or access or use the Services. If documents conflict, this order applies:
- Signed Agreement or Order Form
- These Terms
- Data processing agreement and our Privacy Policy
- Other policies, such as our Cookie Policy and SMS Terms
3. Platform and account access
Access to Pulse and ClubAdmin requires an account. You are responsible for all activity under your account and for keeping your credentials confidential. We give access only to the modules and features in your Agreement. You can appoint administrators and manage user permissions within your account.
Our platforms are hosted in the EU. For clients with a custom deployment agreement, the hosting environment is the one specified in that agreement.
4. Fees and payment
- Service fees are payable monthly in advance, in the currency agreed in your Order Form, unless your Agreement says otherwise.
- Project fees and any performance-based fees are as agreed in your Agreement.
- Third-party costs (such as domains, email sending, SMS and AI model usage) are included or itemised separately, as specified in your Agreement.
- Fees are non-refundable except where a signed Agreement expressly says otherwise.
5. Term and termination
- Initial term: 3 months from the date we receive the first payment, unless your Agreement states another term.
- Renewal: month-to-month after the initial term.
- Either party may terminate with 30 days’ written notice.
- We may suspend or terminate immediately for material breach, insolvency or sanctions-list status.
- On termination, you pay for all Services delivered up to the termination date. We will make your data available for export for 30 days, then delete it, unless the law requires us to keep it.
6. Intellectual property
- You own all deliverables made specifically for you (such as content, reports, configurations and custom features) once paid in full.
- We keep ownership of our platforms (including Pulse and ClubAdmin), software, templates, methods and anonymised or aggregated data.
- You grant us a perpetual, royalty-free licence to use feedback and anonymised data to improve our Services, but never to train public AI models.
7. AI disclosure
Whenever we deploy AI-generated content or AI assistants that interact with your customers, we make sure they are clearly disclosed as AI (for example, “This is an AI assistant”).
8. Your obligations
You must:
- Have all necessary rights and consents for any data you provide or ask us to process, including consent for email and SMS marketing.
- Comply with applicable laws, including the GDPR, the Norwegian Marketing Control Act, CAN-SPAM, the TCPA and carrier rules for SMS (including A2P 10DLC in the US).
- Indemnify us against third-party claims arising from your breach or from materials you supply.
9. Prohibited use
You may not:
- Resell or redistribute deliverables or platform access without a separate partner agreement.
- Use the Services or their outputs to train AI models.
- Reverse engineer, decompile or try to derive the source code of our platforms.
- Use the Services for spam, fraud, phishing, impersonation or unlawful marketing.
- Violate any data protection or marketing law.
10. Warranty disclaimer
The Services are provided “as is”. To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, consequential, special or punitive damages, or for lost profits or revenue. Our total liability is limited to the fees you paid in the 12 months before the claim.
12. Indemnification
Each party will indemnify the other against claims arising from its gross negligence, wilful misconduct or breach of these Terms.
13. Data protection
For personal data you ask us to process in the Services, you are the controller and we are the processor. Processing is governed by our data processing agreement, our Privacy Policy and applicable law. Our platforms are hosted in the EU. Where a sub-processor outside the EEA is used, transfers are protected by appropriate safeguards such as Standard Contractual Clauses.
14. Governing law and jurisdiction
These Terms are governed by Norwegian law. Oslo District Court (Oslo tingrett) has exclusive jurisdiction.
15. Miscellaneous
- Entire agreement: these Terms and any signed Agreement form the entire agreement between the parties.
- Severability: if one provision is invalid, the rest still apply.
- Assignment: you may not assign this agreement without our consent; we may assign it.
- Changes: we may update these Terms. We will notify you of material changes by email or on this website. Continued use after that means you accept the changes.
- Electronic signatures and online acceptance are binding.
